Stage 9 of 9
Restructure or wind up
Sometimes the right move is to merge, transfer, re-domicile or close. In those cases we run the process end to end so nothing is left open with any authority.
Bring us a problemWhat we take on
- Options review: sale, share transfer, merger, re-domiciliation or liquidation
- Shareholder resolutions and liquidator appointment
- Creditor notice period (45 days for mainland companies) and claims
- Employee settlements, visa cancellations and MOHRE clearance
- VAT and corporate tax deregistration with the FTA
- Lease, utility and bank account closure, in the right order
- Final licence cancellation and deregistration certificate
What stays with you
The decision to close and the conversations that come with it.
Wind-up sequence
Closing a UAE company properly
The order matters. Closing the bank account or cancelling the licence too early stalls everything after it. A typical mainland liquidation runs at least two months because of the creditor notice.
Decide the route
Sale, transfer, merger, re-domicile, or liquidation.
Resolution and liquidator
Shareholder resolution, notarised, and a registered liquidator appointed.
Creditor notice
Published notice; 45 days for mainland companies. Free zones set their own periods.
Settle and clear
Creditors, staff end-of-service, visa cancellations, MOHRE and immigration clearance.
Tax deregistration
VAT within 20 business days of ceasing taxable supplies; corporate tax deregistration with the FTA.
Close accounts and leases
Utilities and lease first; the bank account last, once final payments clear.
Cancel and certify
Final liquidator report, licence cancellation and deregistration certificate.
Indicative sequence for a solvent company. Insolvent companies follow the bankruptcy law instead, and each free zone has its own closure rules. We confirm the route with your authority and a licensed liquidator.
